1. Scope of application

1.1

Expolancer (hereinafter referred to as the "Platform") operates a "Workplace" area on its websites and by means of its smartphone app, on which registered participants (the "Workers") can offer various services to the Platform.

1.2

These General Terms and Conditions (hereinafter "GTC") apply to all contractual relationships between the platform and the Workers.

1.3

A change to these GTC will only be made with the express consent of the Workers.

2. Creation of a user account

2.1

In order to use the Workplace as an Expolancer, a one-time free setup of a user account and an activation by the platform is required.

2.2

The Expolancer is obliged to keep the data provided up to date and to make any necessary adjustments without delay.

2.3

When setting up the user account, a freely selectable user ID and password must be provided. The selected user ID may not violate any rights, in particular the name or trademark rights of third parties and may not offend common decency.

2.4

It is generally not permitted to register a user account for a third party. Expolancers are also prohibited from creating and maintaining multiple user accounts.

2.5

If a user account has been blocked by the platform due to violations of these GTC, the Expolancer is prohibited from registering again.

2.6

The platform may conclude framework agreements on the use of the Workplace with legal entities, partnerships, or other persons.

3. Blocking and deletion of the user account, objection

3.1

The platform reserves the right to block the user account of an Expolancer and to terminate the contractual relationship with the Expolancer if the Expolancer violates the GTC or other obligations arising from the contractual relationship.

3.2

Expolancers can deactivate their user account on the Workplace at any time.

3.3

The Platform reserves the right to (i) investigate or take legal action against anyone who breaches contractual obligations or engages in fraudulent and/or otherwise unacceptable conduct and/or (ii) block the Expolancer account and access to the Workplace or Partner Sites.

3.4

If the platform decides to block the Expolancer's user account, it will notify the Expolancer immediately, but no later than the time of the block.

3.5

In the event of a block, the platform offers the Expolancer the opportunity to file an objection.

4. Offers by Expolancers / Use of the Workplace

4.1

The platform presents projects on the Workplace with applicable conditions (merely as an "invitation to offer" - invitation ad referendum).

4.2

If the Platform accepts an offer from an Expolancer, the data required for the performance of the service will be exchanged.

4.3

Expolancers are responsible for ensuring that their services meet the requirements and standards specified by the platform.

4.4

The platform reserves the right to review and approve the quality of services provided by Expolancers.

5. Payment Terms

5.1

The platform will handle payment processing for services provided by Expolancers.

5.2

Expolancers will receive payment for their services according to the payment terms specified by the platform.

5.3

The platform reserves the right to withhold payment in case of disputes or suspected fraudulent activity.

5.4

Expolancers are responsible for paying applicable taxes on their earnings.

6. Confidentiality and Data Protection

6.1

The platform and Expolancers will maintain the confidentiality of all sensitive information exchanged during the provision of services.

6.2

The platform will process personal data in accordance with its privacy policy and applicable data protection laws.

6.3

Expolancers agree to comply with applicable data protection laws when handling client data.

7. Liability and Indemnification

7.1

The platform will not be liable for any damages or losses arising from the provision of services by Expolancers.

7.2

Expolancers will indemnify the platform against any claims or liabilities arising from their services.

7.3

The platform's liability for damages is limited to cases of gross negligence or intentional misconduct.

7.4

In no event will the platform be liable for indirect or consequential damages.

8. Termination

8.1

Either party may terminate the contractual relationship with written notice.

8.2

The platform reserves the right to terminate the contractual relationship without notice in case of material breach.

8.3

Upon termination, Expolancers must remove all platform-related materials and confidential information.

8.4

Termination does not affect any rights or obligations that have accrued prior to termination.

9. Governing Law and Jurisdiction

9.1

These GTC will be governed by and construed in accordance with the laws of [Country/State].

Any disputes arising from these GTC will be resolved through [Dispute Resolution Mechanism].

10. Amendments

10.1

The platform reserves the right to amend these GTC.
